The Competition Commission of India (CCI) has approved a proposal by Dutch investment group Prosus to acquire a stake in the fintech company Navi Ltd. The regulatory clearance allows the global investor to expand its footprint in the Indian digital financial services market.
Under the approved deal, MIH Payments Holdings BV, a subsidiary of Prosus, will acquire a shareholding in the Bengaluru-based company. The CCI confirmed the approval in a formal release, noting that MIH Payments Holdings BV functions primarily as an investment vehicle for its parent organization’s portfolio companies operating in India.
Background on Prosus and Navi
Prosus is a global consumer internet group and a major technology investor. It is majority-owned by Naspers, a South African multinational mass media company. Navi Ltd, the holding company of the Navi Group, was established in 2018 by Sachin Bansal following his departure from Flipkart after its acquisition by Walmart.
Navi provides a suite of financial services, including lending, digital payments, insurance, and mutual funds. The company previously announced in August that it had secured $100 million in funding from Prosus. This transaction represents the first institutional capital raise for the fintech firm.
Regulatory Oversight
The CCI is responsible for monitoring business combinations that exceed specific financial thresholds to ensure fair market competition. The regulator reviews such transactions to prevent unfair business practices. This approval allows Navi to proceed with its plans to scale its digital financial services operations using the new capital infusion.
Why it matters: This investment signifies continued international interest in India’s rapidly growing fintech sector. For investors and market observers, the entry of major global players like Prosus into local digital finance firms highlights the ongoing consolidation and maturation of India’s financial technology landscape as companies seek to expand their service offerings.
