A letter sent to the company secretary of Tata Sons on Monday has exposed internal divisions within India’s largest conglomerate. Noel Tata, chairman of Tata Trusts, has formally challenged a board resolution to reappoint N Chandrasekaran as the chairman of Tata Sons.
The resolution, passed during a September 17 board meeting, seeks to extend Chandrasekaran’s tenure beyond February 2027. Sources familiar with the matter indicated that Noel Tata has characterized the five-year reappointment as void. His objections center on procedural concerns, specifically noting that the reappointment was not listed on the meeting’s agenda.
Procedural Disputes
According to sources, the agenda for the September 17 meeting was restricted to a debriefing from the nomination and remuneration committee. Noel Tata argues that the decision was made out of turn. In his letter to company secretary Suprakash Mukhopadhyay, he requested an unedited video recording of the proceedings to verify the events.
Noel Tata, whose Tata Trusts own a two-thirds majority in Tata Sons, had previously opposed the reappointment when it was put to a vote. However, the motion passed with the support of other directors, including Anita George, Harish Manwani, and Saurabh Agarwal. Venu Srinivasan, the second Tata Trusts nominee on the board, also voted in favor of the reappointment, diverging from Noel Tata’s position.
Governance Requirements
The dispute hinges on the interpretation of governance protocols. Noel Tata contends that under the Articles of Association of Tata Sons, resolutions require the affirmative vote of the directors nominated by Tata Trusts. He maintains that the current process violated these requirements.
Tata Sons and Tata Trusts did not immediately respond to emails requesting comment on the matter. The challenge signals a significant period of internal friction within the century-old conglomerate, raising questions about the future leadership structure of the holding company.
